1. Scope of Application

1.1. These Terms of Service (“Terms”) govern the contractual relationship between ProxyPanel.Pro, operated by Niels van Veen, c/o Postflex #8764, Emsdettener Str. 10, 48268 Greven, Germany (“ProxyPanel.Pro,” “we,” “us”), and any individual or entity that registers for, accesses, or uses the ProxyPanel.Pro platform (“Tenant,” “you”). These Terms apply in their current version at the time the contractual relationship is established.

1.2. ProxyPanel.Pro is a software-as-a-service (“SaaS”) platform that enables Tenants to create and operate branded proxy storefronts powered by ProxySmart infrastructure. ProxyPanel.Pro acts exclusively as a technology and platform provider. ProxyPanel.Pro does not sell, distribute, or otherwise provide proxy services to end customers. All commercial relationships between Tenants and their customers are the sole responsibility of the respective Tenant.

1.3. Any terms or conditions presented by the Tenant that conflict with or deviate from these Terms shall not apply, even in the absence of express objection by ProxyPanel.Pro. Deviations from these Terms are effective only if expressly confirmed in writing by ProxyPanel.Pro.

1.4. ProxyPanel.Pro reserves the right to amend these Terms, including for existing contractual relationships, if such amendments are necessitated by changes in applicable law, court rulings, or relevant market conditions. Tenants will be notified of proposed amendments via email, with the modified provisions clearly identified. Tenants may object to the proposed changes within fourteen (14) days of receipt. If no objection is raised within this period, the amended Terms shall be deemed accepted. In the event of an objection, ProxyPanel.Pro reserves the right to terminate the agreement for good cause.

1.5. The contractual language is English. All agreements, notices, and communications related to these Terms shall be conducted in English unless otherwise agreed in writing.

1.6. Tenants are solely responsible for ensuring that their use of the platform and the operation of their storefronts comply with all applicable laws, regulations, and third-party obligations in their respective jurisdictions.

2. Subject Matter of the Agreement

2.1. ProxyPanel.Pro provides Tenants with a managed platform for the creation and operation of branded online storefronts for the resale of mobile proxy services. The platform includes, but is not limited to, a customizable landing page, customer registration and authentication, a customer-facing proxy management dashboard, automated billing and balance management, legal page generation, and proxy lifecycle management tools.

2.2. The platform operates exclusively with ProxySmart proxy infrastructure. Tenants must connect their own ProxySmart server credentials to the platform. ProxyPanel.Pro does not own, operate, or control the underlying proxy hardware or network infrastructure. No proxy traffic is routed through or processed by ProxyPanel.Pro or the hosted storefronts. All proxy connections are established directly between the end customer and the Tenant’s ProxySmart server. The platform serves exclusively as a management and administration interface.

2.3. The functional scope of the platform, including available features, plans, and configurations, corresponds to the options visible within the Tenant administration dashboard at the time of use.

2.4. ProxyPanel.Pro provides the platform on an “as is” and “as available” basis. ProxyPanel.Pro does not warrant any particular level of quality, availability, or suitability of the platform for any specific purpose. Tenants are solely responsible for evaluating whether the platform meets their business requirements.

2.5. ProxyPanel.Pro may modify, extend, limit, or discontinue any part of the platform at any time for maintenance, security, technical improvement, or operational reasons. Scheduled maintenance will, where possible, be performed during low-traffic periods and communicated in advance.

3. Tenant Registration and Account

3.1. Access to the platform requires the creation of a Tenant account. Each Tenant must provide accurate, complete, and current information during registration and promptly update such information in the event of any changes.

3.2. There is no entitlement to registration. ProxyPanel.Pro reserves the right to reject, suspend, or terminate any registration or account at its sole discretion, including but not limited to cases of suspected fraud, misrepresentation, or violation of these Terms.

3.3. Tenants are responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account. Tenants must notify ProxyPanel.Pro immediately of any unauthorized use of their account or any other security breach.

3.4. ProxyPanel.Pro shall not be liable for any loss or damage arising from unauthorized access to or misuse of a Tenant account, except to the extent such access is directly attributable to the negligence or intentional misconduct of ProxyPanel.Pro.

4. Tenant Obligations and Permitted Use

4.1. Tenants agree to use the platform solely for lawful commercial purposes in accordance with these Terms and all applicable laws and regulations. Tenants shall not engage in, facilitate, or permit through their storefronts any activity that violates applicable law, infringes the rights of third parties, or contravenes established legal or ethical standards.

4.2. Without limiting the foregoing, Tenants expressly agree not to:

  • operate a storefront that knowingly facilitates, promotes, or advertises illegal activities, including but not limited to hacking, fraud, phishing, credential stuffing, or cyberattacks;
  • market or position their storefront explicitly for unlawful purposes or target audiences engaged in prohibited activities;
  • operate a fraudulent or deceptive storefront, including collecting payments without delivering services or misrepresenting product capabilities;
  • provide false or misleading identity information during registration or publish fictitious imprint or legal data on their storefront;
  • fail to maintain required legal pages or deliberately publish misleading legal information on their storefront;
  • resell, sublicense, or redistribute access to the ProxyPanel.Pro platform itself to third parties without prior written consent;
  • interfere with or disrupt the operation of the platform, including through automated processes, bots, or excessive load;
  • use the platform in a manner that causes reputational harm to ProxyPanel.Pro or its infrastructure partners.

4.3. Tenants are solely responsible for the content displayed on their storefronts, including but not limited to pricing, product descriptions, legal notices, and customer communications. ProxyPanel.Pro does not review, approve, or endorse any Tenant content.

4.4. Tenants are solely responsible for the establishment and maintenance of their own legal compliance, including but not limited to providing accurate imprint, terms of service, and privacy policy pages for their storefronts. The legal page generator provided by the platform is offered as a convenience tool and does not constitute legal advice.

4.5. Tenants shall comply with all applicable anti-money-laundering, sanctions, export-control, and consumer-protection regulations in connection with the operation of their storefronts.

5. Tenant’s Relationship with End Customers

5.1. The contractual relationship between a Tenant and its end customers is exclusively between those two parties. ProxyPanel.Pro is not a party to, and has no obligations under, any agreement between a Tenant and its end customers.

5.2. Tenants are solely responsible for customer support, dispute resolution, refund handling, and any claims arising from the products or services offered through their storefronts.

5.3. ProxyPanel.Pro disclaims all liability for any loss, damage, claim, or dispute arising from or related to the relationship between a Tenant and its end customers, including but not limited to disputes regarding service quality, availability, billing, or data protection.

6. Fees, Payment, and Billing

6.1. Access to the ProxyPanel.Pro platform is subject to the payment of recurring subscription fees as specified in the applicable plan selected by the Tenant. All prices are stated in US Dollars and include statutory value-added tax where applicable.

6.2. Subscription fees are due in advance for the respective billing period. Payment may be made using the methods offered within the platform at the time of purchase.

6.3. In the event of a payment failure, ProxyPanel.Pro reserves the right to suspend access to the platform until payment has been successfully completed.

6.4. ProxyPanel.Pro reserves the right to adjust pricing for future billing periods. Any price adjustments for existing subscriptions will be communicated to affected Tenants at least thirty (30) days prior to the effective date. Tenants who do not agree with the adjusted pricing may terminate their subscription before the new pricing takes effect.

7. Platform Availability and Service Level

7.1. ProxyPanel.Pro endeavors to provide a stable and continuously available platform. ProxyPanel.Pro targets an average monthly availability of ninety-five percent (95%). Periods of downtime attributable to scheduled maintenance, force majeure events, third-party infrastructure failures, or circumstances beyond the reasonable control of ProxyPanel.Pro shall not be considered service interruptions for the purposes of this target.

7.2. ProxyPanel.Pro does not guarantee uninterrupted or error-free operation of the platform. Temporary disruptions may occur due to technical maintenance, updates, or external factors, including but not limited to failures of hosting providers, network operators, or upstream API services.

8. Intellectual Property

8.1. All intellectual property rights in the ProxyPanel.Pro platform, including but not limited to software, design, branding, trademarks, documentation, and user interfaces, remain the exclusive property of ProxyPanel.Pro.

8.2. Tenants are granted a limited, non-exclusive, non-transferable, revocable license to use the platform for the duration of the contractual relationship in accordance with these Terms.

8.3. Tenants may not copy, modify, reverse-engineer, decompile, or create derivative works based on any part of the platform without prior written consent.

9. Limitation of Liability

9.1. ProxyPanel.Pro shall be liable without limitation for damages caused by intent or gross negligence. In cases of simple negligence, liability is limited to damages arising from injury to life, body, or health, as well as damages resulting from the breach of an essential contractual obligation (an obligation whose fulfillment is a prerequisite for the proper performance of the contract and on whose compliance the Tenant regularly relies).

9.2. In the event of a simple negligent breach of an essential contractual obligation, the liability of ProxyPanel.Pro is limited to the amount of the foreseeable, typically occurring damage.

9.3. ProxyPanel.Pro shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of profits, loss of data, business interruption, or third-party claims arising from the Tenant’s use of the platform.

9.4. ProxyPanel.Pro assumes no liability for the actions, omissions, content, or business practices of Tenants or their end customers. ProxyPanel.Pro is not responsible for the legality, accuracy, quality, or availability of any proxy services sold through Tenant storefronts.

9.5. The foregoing limitations of liability shall also apply in favor of the legal representatives, employees, and vicarious agents of ProxyPanel.Pro.

9.6. These limitations do not apply insofar as ProxyPanel.Pro has fraudulently concealed a defect, has assumed a guarantee, or in the case of claims under the German Product Liability Act (ProdHaftG).

10. Indemnification

10.1. Tenants agree to indemnify, defend, and hold harmless ProxyPanel.Pro, its owners, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • the Tenant’s use of the platform or the operation of their storefront;
  • any breach of these Terms by the Tenant;
  • any dispute between the Tenant and its end customers;
  • any violation of applicable law or third-party rights by the Tenant or its end customers;
  • any content published or distributed through the Tenant’s storefront.

11. Term, Termination, and Suspension

11.1. The term of the agreement corresponds to the subscription period selected by the Tenant. Unless terminated, subscriptions renew automatically for successive periods of equal duration.

11.2. Either party may terminate the agreement at the end of the current billing period by providing notice at least fourteen (14) days before the renewal date.

11.3. ProxyPanel.Pro reserves the right to suspend or terminate a Tenant’s access to the platform immediately and without prior notice in the event of a material breach of these Terms, suspected fraudulent or illegal activity, or non-payment of fees.

11.4. Upon termination, the Tenant’s access to the platform and all associated data will be deactivated. ProxyPanel.Pro may retain data for the duration of any applicable statutory retention periods.

11.5. Fees paid in advance are non-refundable upon termination, unless termination is attributable to a material breach by ProxyPanel.Pro.

12. Data Protection

12.1. ProxyPanel.Pro processes personal data in accordance with applicable data protection laws, in particular the European General Data Protection Regulation (GDPR). Further information is available in our Privacy Policy.

12.2. Where a Tenant processes personal data of its end customers through the platform, the Tenant acts as the data controller for such processing and is solely responsible for compliance with applicable data protection laws.

13. Right of Withdrawal for Consumers

13.1. If the Tenant qualifies as a consumer within the meaning of applicable law, the Tenant may have a right of withdrawal within fourteen (14) days from the conclusion of the contract without stating reasons.

13.2. The right of withdrawal expires prematurely if the Tenant has expressly consented to ProxyPanel.Pro commencing the provision of the digital service before the expiration of the withdrawal period and has acknowledged that consent to early performance results in the loss of the right of withdrawal. This consent is obtained during the registration process.

13.3. To exercise the right of withdrawal, the Tenant must send a clear declaration (e.g., by email) to: support@proxypanel.pro.

14. Abuse Reporting and Enforcement

14.1. ProxyPanel.Pro is committed to preventing the misuse of its platform. Any individual or entity may report suspected abuse, illegal activity, or violations of these Terms through the dedicated reporting page at proxypanel.pro/report-abuse or by email to support@proxypanel.pro.

14.2. ProxyPanel.Pro will investigate credible reports in a timely manner and may take appropriate action, including but not limited to suspension or permanent termination of the offending Tenant account, without prior notice and without refund.

14.3. In cases of suspected illegal activity, ProxyPanel.Pro will cooperate fully with competent law enforcement authorities and will provide all necessary information upon lawful request.

15. Dispute Resolution

15.1. In the event of disputes arising from or in connection with these Terms, Tenants are encouraged to contact ProxyPanel.Pro at support@proxypanel.pro to seek an amicable resolution.

15.2. ProxyPanel.Pro is neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

16. Final Provisions

16.1. The contractual relationship between ProxyPanel.Pro and the Tenant is governed exclusively by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

16.2. If the Tenant is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be the registered office of ProxyPanel.Pro.

16.3. If any provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that most closely reflects the economic intent of the original provision.

16.4. Amendments and supplements to these Terms must be made in text form. This requirement also applies to any waiver of the text-form requirement.
